These Terms of Service ("Terms") govern your access to and use of DutyPilot, including the Echo Bot platform, website, dashboard, widget and integrations for WhatsApp, Facebook Messenger and Instagram ("Service"), operated by DutyPilot ("we", "us"). By creating an account or using the Service you agree to these Terms.
1. Eligibility and accounts
You must be at least 18 and have authority to act for the organization you represent. You are responsible for safeguarding credentials and for all activity under your account. Notify us immediately of any unauthorized use.
2. Service description
DutyPilot provides an AI-assisted support agent, a customizable website widget and optional connections to Meta messaging channels. Features, limits and availability may evolve as we improve the Service. We may apply rate limits and fair-use protections to keep the Service reliable for everyone.
3. Connected messaging channels
If you connect WhatsApp Business, Facebook Messenger or Instagram Direct you authorize us to send and receive messages via the Meta Graph API using the access tokens you grant. You represent that you have the right to connect the Page, Instagram account or WABA and to message your end-customers in compliance with applicable law, Meta’s Platform Terms and the WhatsApp Business Messaging Policy. You are solely responsible for obtaining required consents from your customers.
4. Acceptable use
You agree not to:
- Send spam, unsolicited promotions, harassment or deceptive content
- Violate Meta’s Terms, the WhatsApp Business Policy or any applicable law
- Reverse engineer, bypass or interfere with security or rate limiting
- Upload unlawful, infringing or harmful content, or content you do not have rights to
- Use the Service in a way that imposes excessive load or risks disruption to others
We may suspend or terminate use that violates this section.
5. Customer data and privacy
You retain ownership of your end-customer conversation data. You grant us a limited license to process, store and transmit that data solely to provide the Service — we act as a data processor on your behalf. Our handling of personal information is described in our Privacy Policy. You are the data controller and are responsible for fulfilling data-subject requests and providing required notices.
6. AI-generated responses
The Service may generate automated replies using large language models. We strive for accuracy, but AI responses can be incomplete or incorrect. You are responsible for reviewing domain knowledge, suggested replies and templates you publish. We do not guarantee error-free or fit-for-purpose AI output.
7. Fees and billing
Certain features may be free or offered on a paid plan. Paid fees are billed in advance and are non-refundable except where required by law. We may change fees upon reasonable notice. Failure to pay may result in suspension after notice.
8. Intellectual property
We and our licensors retain all rights in the Service, including software, trademarks and brand assets. You retain rights in content you provide. You may not copy, modify or create derivative works of the Service except as expressly permitted.
9. Third-party services
The Service integrates with third parties such as Meta, Clerk, Convex and OpenAI. Your use of those integrations is subject to their terms. We are not responsible for third-party services beyond our reasonable control.
10. Termination
You may close your account anytime via the dashboard or by contacting us. We may suspend or terminate access if you materially breach these Terms or if required by law or by Meta. Upon termination your right to use the Service ceases; we will make exports available for a reasonable period where feasible, then delete or anonymize data per our retention practices.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free.
12. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for all claims arising out of or related to the Service is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special or punitive damages or loss of profits, data or goodwill.
13. Indemnification
You will indemnify and hold us harmless from claims, damages and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Service, your end-customer communications or your violation of these Terms or applicable law.
14. Governing law
These Terms are governed by the laws of Bangladesh, without regard to conflict-of-laws rules, unless your organization’s principal place of business requires application of another jurisdiction’s mandatory rules.
15. Changes to Terms
We may update these Terms periodically. Material changes will be notified by email or an in-dashboard notice. Continued use after the effective date constitutes acceptance of the updated Terms.
